These Terms of Service ("Terms") are entered into between you ("User", "you", "your") and:

("Eleva", "we", "us", "our")
Eleva Platform Ltd is the single contracting entity for all users worldwide. Eleva Platform Ltd is solely responsible for all payment, financial, and tax obligations arising under these Terms, including obligations under the Monetisation & Creator Earnings Policy.
02Services Covered & Additional Policies
These Terms govern your use of the Eleva mobile application, the website at elevaplatform.org, and all associated features and services (together, the "Platform" or "Services").
Additional Policies Incorporated by Reference
The following policies form part of these Terms and your contract with Eleva. Where a specific policy conflicts with these Terms, that policy takes precedence for its subject matter:
Further terms may apply to specific features or programmes. We will notify you of any additional terms at the relevant time and before you are bound by them.
03Our Business Model
The Platform allows you and others to create, view, share, and interact with short-form and long-form video content, participate in Live broadcasts, and engage with a community of creators and consumers worldwide.
We personalise parts of your experience, including the feed, using a recommendation system that considers factors such as likes, shares, comments, watch time, content diversity, and your interaction history. You can learn more about how our recommendation system works in our Help Centre.
How Eleva Makes Money
Eleva does not charge you to use the core features of the Platform. Instead:
- Businesses and individuals pay us to show advertisements in the feed, served via Google AdMob (with your consent);
- We charge a platform fee on virtual gift transactions (20% on feed gifts; 50% on Live gifts);
- We charge for Eleva Token purchases via Google Pay.
How You Make Money
Eleva shares its advertising revenue with the community through:
- Scroll and view rewards — a small allocation of ad revenue distributed to users who consume content and ads;
- Creator post earnings — a share of ad revenue attributed to your published content based on authentic views and engagement;
- Gift receipts — tokens sent to you by other users as appreciation, after platform fee deduction;
- Ambassador referral commissions — 5% lifetime commission on direct referrals.

04Eligibility & Minimum Age
To use Eleva, you must:
- Be at least 16 years of age;
- Have the legal capacity to enter into a binding contract in your jurisdiction;
- Not be prohibited from using the Services under applicable law or sanctions;
- Not be on any restricted party list (UN, UK OFSI, US OFAC, EU);
- Not have had a previous Eleva account terminated for breach of these Terms.
Age-Gated Features
Certain features require you to be older than the general minimum age:
- Live broadcasting: minimum age 16 (consistent with account minimum);
- Receiving gifts on Live: minimum age 18, and subject to KYC completion;
- Cash withdrawal (payout): minimum age 16, subject to KYC;
- KYC verification: you must be at least 16 and provide a government-issued document confirming your age.
By registering, you represent that you meet all applicable eligibility requirements. If you are accepting these Terms on behalf of a business, you confirm you have authority to bind that business.
05Account Registration & Security
Registration
Eleva is an invitation-based platform. To register, you must use a unique referral link from an existing Eleva user. When registering you must:
- Provide accurate, current, and complete information including your real name and date of birth;
- Keep your account information up to date;
- Choose a strong, unique password and keep it confidential;
- Not share your login credentials with any third party.
One Account Per Person
You may hold only one active account. Creating multiple accounts to circumvent bans, KYC requirements, content restrictions, or to manipulate earnings or referral systems is a material breach of these Terms and will result in permanent termination of all associated accounts and forfeiture of all balances.
Account Security
You are solely responsible for all activity that occurs under your account. If you know or suspect that a third party has accessed your account without authorisation, notify us immediately at support@elevaplatform.org. Eleva will not be liable for any loss arising from your failure to keep your account secure.
Account Sync
Your account, content, and settings sync across all instances of the Eleva App. Changes made on one device apply to all.
06What You Can Do on Eleva
Subject to these Terms and our Community Guidelines, you may use the Platform to:
- Create, upload, publish, and share short-form and long-form video content;
- View, like, comment on, share, and interact with other users' content;
- Host and participate in Live broadcasts;
- Send and receive virtual gifts using Eleva Tokens;
- Earn tokens through content consumption, creation, gifts, and referrals;
- Purchase Eleva Tokens via Google Pay;
- Withdraw eligible token earnings to real currency via Stripe;
- Follow, message, and connect with other users;
- Participate in the Ambassador referral programme;
- Use all other features made available by Eleva from time to time.
The permission we give you is: limited to what these Terms allow; personal to you and non-transferable; revocable by us for the reasons set out in these Terms.
07What You Cannot Do
You must comply with our Community Guidelines at all times. In addition to the rules set out there, you must not use the Platform to:
Legal Violations
- Do anything illegal, including posting or distributing illegal content;
- Violate applicable laws, regulations, or requirements including anti-corruption, anti-money laundering, counter-terrorist financing, trade controls, or economic sanctions laws;
- Post content that infringes the intellectual property, privacy, or personality rights of any third party.
Platform Abuse
- Use automated systems, bots, scrapers, or scripts to access, interact with, or extract data from the Platform without Eleva's written consent;
- Reverse engineer, decompile, or disassemble any part of the App;
- Attempt to gain unauthorised access to any portion of the Platform or its systems;
- Introduce malware, viruses, or other harmful code;
- Undermine the security, stability, or integrity of the Platform;
- Generate fake, fraudulent, or artificial engagement, views, or traffic;
- Use or attempt to use another user's account without their permission.
Earnings & Financial Abuse
- Artificially inflate scroll earnings, post views, or gift receipts through coordinated or automated means;
- Self-gift using secondary accounts;
- Manipulate the Ambassador referral system through fake accounts, self-referral, or coordinated fraudulent sign-ups;
- Engage in any conduct designed to launder money through the token economy;
- Structure withdrawals to evade reporting thresholds under UK MRDP or equivalent regulations.
Community Harm
- Engage with other users, including minors, in an exploitative or inappropriate way;
- Post, live stream, or distribute content violating our Community Guidelines;
- Submit appeals, reports, or complaints that are clearly unfounded or made in bad faith;
- Engage in fake engagement activity (purchasing followers, views, likes, or comments);
- Impersonate any person or entity or falsely state your affiliation with Eleva.
Violation of these prohibitions may result in content removal, account restriction, permanent ban, forfeiture of all balances, and referral to law enforcement. You can report suspected violations using the in-app report function or at safety@elevaplatform.org.
08Your Content — Ownership & Licence
You Own Your Content
You retain ownership of all content you create, upload, or post on Eleva ("User Content"). Nothing in these Terms transfers ownership of your intellectual property to Eleva.
Licence You Grant to Eleva
By posting User Content on Eleva, you grant Eleva Platform Ltd a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to use, reproduce, modify, adapt, translate, distribute, perform, and display your User Content for the purposes of operating, developing, promoting, and providing the Platform. This licence lasts for as long as your content remains on the Platform.
This licence does not permit Eleva to sell your User Content to third parties or use it in advertising external to the Platform without your additional consent.
Licence You Grant to Other Users
You also grant each Eleva user a non-exclusive, royalty-free, worldwide licence to access and engage with your content through the Platform's features, subject to your privacy settings.
Your Representations
By posting User Content, you confirm that:
- You own the content or have all necessary rights, licences, and consents;
- The content does not infringe any third-party intellectual property, privacy, or publicity rights;
- All persons depicted have consented to the content being published on Eleva;
- The content complies with all applicable laws and these Terms.
Content Removal & Persistence
You may remove your content at any time. However, content that has been interacted with by other users (reposted, shared, or incorporated into derivative content) may persist in those users' copies or on third-party services after you delete the original. Eleva will process deletion requests in accordance with our Privacy Policy.
Moral Rights
To the extent permitted by applicable law, you waive any moral rights you may have in User Content in favour of Eleva and other users for Platform purposes.
Feedback
If you submit feedback, suggestions, or ideas to Eleva, you agree we may use them freely to improve the Platform without any obligation to compensate you.
09Content Moderation
How We Moderate
We maintain a safe platform using a combination of:
- Automated pre-publication moderation via Google Cloud Vision AI — all content passes through this before going live;
- Human review for flagged, escalated, or borderline content;
- User reports via the in-app reporting system;
- Community Moderators — voluntary users selected by our admin team who can flag content (see Community Guidelines Section 2).
Actions We May Take
We may, acting reasonably, take any of the following actions in response to content or conduct that violates these Terms or our Community Guidelines:
- Remove or restrict access to specific content (with a reason code sent to you — see Community Guidelines Section 13);
- Apply feed distribution limitations or demotion without removal;
- Issue a formal in-app warning;
- Temporarily restrict account features;
- Suspend the account pending investigation;
- Permanently terminate the account;
- Refer the matter to law enforcement (required for CSAM and serious criminal content).
Notification & Appeals
We will notify you of content removals or account actions without undue delay, including the reason, unless legally prevented from doing so. You may appeal any moderation decision by emailing appeals@elevaplatform.org within 14 days of the action. We will review and respond within 72 hours.
Zero-tolerance decisions (CSAM, terrorism, NCII, human trafficking) are not subject to appeal reversal.
10Identity Verification (KYC)
Why KYC Is Required
Identity verification ("KYC") serves three purposes on Eleva:
- Anti-multi-accounting: Every account must be linked to a unique, verified real identity. Creating multiple accounts to manipulate earnings, bypass bans, or game the referral system is impossible once KYC is enforced;
- Anti-bot: Automated bot networks cannot pass a real-time government document and biometric check at scale;
- Age verification: KYC confirms you meet the minimum age of 16. Users under 16 are blocked by this check;
- Payout compliance: Stripe, as a regulated payment institution, is legally required to verify the identity of any individual to whom it transmits funds under its AML/KYC obligations.
Mandatory KYC Threshold
KYC is mandatory when your cumulative Eleva Token balance reaches or exceeds 3 (three) tokens, whether acquired through purchase, earning, gifts, or referral rewards. Until KYC is completed, your balance is capped at 2 tokens and token-dependent features are restricted.
KYC Provider — Stripe Identity
KYC is conducted exclusively by Stripe Identity, a service of Stripe Payments UK Ltd (FCA authorised — FRN: 900461). The process requires a valid, unexpired government-issued photo identity document and a real-time biometric liveness check. Eleva does not receive or store your identity documents or biometric data. Stripe processes and retains this data under its own privacy policy as a data controller in its own right, pursuant to its regulated AML/KYC obligations. Eleva receives only: your verification status (approved/rejected/pending) and your verified name.
KYC Cost — Pass-Through Fee
The cost of one KYC verification is approximately 1.5 Eleva Tokens, deducted from your Available Balance when you initiate the process. This is a direct pass-through cost for Stripe Identity services — it is not retained as Eleva platform revenue. The exact amount is displayed before you confirm. By proceeding, you authorise this deduction.
This fee is charged regardless of whether verification succeeds, as the verification attempt itself is the chargeable event by Stripe. Re-attempts incur the same fee. The reason for any failure is communicated to you before you decide whether to re-attempt.
Fraudulent Documents
Submission of forged, altered, or fraudulent identity documents is a criminal offence under the Fraud Act 2006 (UK) and equivalent legislation globally. This results in immediate permanent account termination, forfeiture of all balances, and referral to law enforcement without prior notice.
Consequences of Not Completing KYC
If you do not complete KYC: your balance remains capped at 2 tokens; referral and gift earnings that would push your balance above 2 tokens are held pending verification; you cannot withdraw earnings; you cannot receive Live gifts. All non-monetised features remain fully available.
11Eleva Tokens & Virtual Items
Acquiring Tokens
Tokens may be acquired by:
- Purchase via Google Pay (see Section 15);
- Earning through the Platform's monetisation mechanisms (see Section 12);
- Receiving gifts from other users (see Section 13);
- Referral programme commissions (see Section 14);
- Promotional grants from Eleva (at Eleva's sole discretion).
Using Tokens
Tokens may be used to: send virtual gifts (feed and Live); fund KYC verification (pass-through cost paid to Stripe Identity — not retained by Eleva); unlock premium in-app features; and any other token-gated feature Eleva introduces from time to time.
Token Restrictions
Tokens are personal to your account. You may not sell, trade, transfer, or exchange them with other users or third parties outside platform features designed for this purpose. Tokens do not expire while your account is active.
Forfeiture — Differentiated Treatment
Token balance treatment on account termination depends on the nature of the breach. Tokens earned through fraudulent conduct (artificial inflation, self-gifting, fake accounts, money laundering) are forfeited in full regardless of source.
For non-fraud account terminations (content violations, conduct breaches): tokens in your Available Balance that were purchased with real money via Google Play Billing are not automatically forfeited — you are given a 14-day window to withdraw or spend them before account closure. Earned tokens associated with the violating conduct may be withheld at Eleva's reasonable discretion. See Section 26 for full termination policy.
Upon voluntary account deletion: any Available Balance above the 100-token withdrawal minimum may be withdrawn before deletion. Balances below the minimum are forfeited. Pending balances are forfeited as validation cannot complete for closed accounts.
Consumer statutory rights under applicable law are preserved in all cases.

12Monetisation & Earnings
Eleva distributes a portion of its advertising revenue to users who contribute to the platform ecosystem. There are four earning streams:
Scroll & View Rewards
A small token allocation distributed to users who scroll the feed and view advertisements. The per-view amount is variable and not guaranteed. Based on ad revenue pool, active viewer count, geo-location of viewer, and account standing.
Creator Post Earnings
A share of advertising revenue attributed to your published content, based on authentic views, watch time, completion rate, and engagement. Bot-generated and artificial views are excluded.
Gift Receipts
Tokens received from other users as gifts, after deduction of the applicable platform fee (20% feed / 50% Live).
Ambassador Referral Commission
5% lifetime commission on eligible transactions by directly referred users.
Pending Balance & Validation
All earned tokens enter a Pending Balance and undergo a validation period (typically 7–14 days) before being released to your Available Wallet. Pending earnings that fail validation are withheld. Eleva is not liable for earnings not released where fraud or policy violation is suspected.
No Earnings Guarantee
Eleva makes no representation as to minimum earnable amounts. Earnings are variable, non-guaranteed, and may be modified or discontinued with 30 days' notice. Past earnings do not predict future earnings.

13Gifts — Feed & Live
Users may send virtual gifts to other users using Eleva Tokens. Gifts are a voluntary expression of appreciation and do not constitute payment for services or create any contractual obligation on the recipient.
Feed Gifts — 80/20 Split
When a gift is sent on the feed: the recipient receives 80% of the token value sent; Eleva retains 20% as a platform fee. The fee is deducted automatically at the moment of gifting.
Live Gifts — 50/50 Split
When a gift is sent during a Live broadcast: the broadcaster receives 50%; Eleva retains 50%. The higher platform fee compared to feed gifts reflects the real-time streaming infrastructure cost of Live.
Gifts Are Final
All gift transactions are final and non-refundable once sent. Tokens spent on gifts cannot be recovered under any circumstances.
Gift Restrictions
You may not: gift to yourself or accounts you control; use gifts to pay for off-platform services or goods; request, solicit, or coerce gifts in exchange for any benefit; use the gift system as part of any fraud or money laundering scheme.

14Ambassador Referral Programme
Every Eleva user is automatically an Ambassador and receives a unique personal referral link. Eleva is an invitation-based platform — new users can only register via an existing user's referral link.
What You Earn
You earn a 5% commission (in Eleva Tokens) on eligible transactions made by users you directly and personally referred. This is a single-tier direct referral reward only — you do not earn from referrals made by your referrals, nor from any subsequent level.
Key Conditions
- Referral earnings are credited to Pending Balance and subject to validation;
- KYC must be completed to receive earnings above the 2-token threshold;
- Self-referrals, fake account referrals, and manipulation of the system are prohibited and will result in forfeiture of all earnings and permanent ban;
- Eleva may modify or terminate the programme with 30–60 days' notice.

15Google Pay & Token Purchases
Token purchases are processed via Google Pay. By making a purchase, you:
- Agree to Google Pay's Terms of Service and Privacy Policy;
- Confirm you are authorised to use the payment method;
- Acknowledge that Eleva does not receive or store your full payment card details.
Prices & Taxes
All prices are shown in your local currency before purchase. Prices include applicable taxes where required by law. Transaction records are available in your account history.
14-Day Cancellation Right — Waiver at Purchase
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 (UK) and the EU Consumer Rights Directive, you normally have 14 days to cancel a digital content purchase. However, by completing a token purchase you expressly request that performance begins immediately, and you acknowledge and agree that you lose your 14-day right to cancel once the tokens are credited to your account. This confirmation is presented as a mandatory step in the purchase flow before any charge is made.
Refunds on Token Purchases
Token purchases are non-refundable once credited to your account, except where:
- A technical error by Eleva resulted in incorrect charges or non-delivery;
- Eleva terminates your account through no fault of your own.
Refund requests must be submitted to support@elevaplatform.org within 14 days of purchase.
16Cash Withdrawal & Stripe
Eligibility to Withdraw
To withdraw Available Wallet tokens as real currency, you must simultaneously meet all of:
- Minimum 100 tokens in Available Wallet;
- Completed and approved KYC verification;
- Account in good standing with no active monetisation block;
- Accepted Stripe Connected Account Agreement (stripe.com/gb/legal);
- Provided a valid Payout Account (bank account or PayPal) registered in your name;
- Completed any required tax declaration where applicable.
Payment Processing by Stripe
By initiating your first withdrawal, you accept the Stripe Connected Account Agreement. You authorise Eleva to pass payout instructions to Stripe on your behalf and share relevant information with Stripe for payment processing and legal compliance purposes.
Withdrawal Process & Timing
Minimum withdrawal: 100 tokens. Typical processing time: 3–5 business days after Eleva's instruction to Stripe, subject to Stripe's and your bank's processes.
Automatic Transfer — 90-Day Rule
If you have an eligible Available Balance and have not initiated a withdrawal within 90 days of first becoming eligible to withdraw, Eleva may instruct Stripe to automatically transfer your eligible balance to your registered Payout Account. Before any automatic transfer, Eleva will send you an in-app and email notification at least 14 days in advance. You may opt out of automatic transfer at any time via Wallet Settings → Withdrawal Preferences → Disable Auto-Transfer. Opting out does not affect your right to initiate manual withdrawals at any time.
Eleva's Liability for Stripe
Eleva is not liable for delays, failures, or rejections caused by Stripe, provided Eleva has correctly submitted the payout instruction. Stripe may suspend or terminate your Connected Account for reasons under the Stripe Services Agreement.

17Live Broadcasting
Eligibility
To host a Live broadcast on Eleva:
- You must be at least 16 years of age;
- To receive gifts during Live, you must be at least 18 years of age and have completed KYC;
- Your account must be in good standing.
Live Content Rules
All Community Guidelines apply in full to Live broadcasts in real time. Additionally:
- You must not broadcast content that would be prohibited as a posted video;
- You must not broadcast in a way that constitutes a public performance of unlicensed music or copyrighted material;
- You must not use Live to solicit gifts in exchange for specific content or off-platform benefits;
- You must not broadcast from locations where you have no permission to record.
Live Termination
Eleva may terminate a Live broadcast at any time without prior notice if it determines a Community Guidelines or Terms violation is occurring. Gift earnings from a terminated Live session may be withheld where the termination was caused by a policy violation.
18Branded & Commercial Content
If you post content on Eleva that promotes a brand, product, or service in exchange for payment, free products, or any other incentive ("Branded Content"), you must:
- Clearly disclose the commercial nature of the content using Eleva's in-app disclosure tools (where available) or a clear, prominent written disclosure (e.g., "#ad", "#sponsored", "#gifted");
- Comply with applicable advertising disclosure laws including the UK ASA/CAP Code, EU Unfair Commercial Practices Directive (2005/29/EC), and US FTC Endorsement Guidelines;
- Not create Branded Content for industries prohibited under our Community Guidelines (weapons, CSAM-adjacent products, illegal substances, etc.);
- Not create Branded Content that contains misinformation, denigrates competitors, or makes unsubstantiated claims;
- Not present Eleva as a promoter or sponsor of the content unless Eleva has explicitly agreed to this in writing.
Content without required disclosure may be removed from the feed or have its distribution restricted. Persistent non-disclosure may result in account action.
AI-Generated Content
Content that is substantially AI-generated must be clearly disclosed as such. Undisclosed synthetic media (deepfakes) presented as real is prohibited under Section 7 and our Community Guidelines.
19Intellectual Property
Eleva's IP
The Eleva name, logo, App design, interface, software, source code, database structure, algorithms, and all other platform elements are the exclusive intellectual property of Eleva Platform Ltd, protected by UK and international intellectual property laws. Nothing in these Terms grants you any right in Eleva's IP beyond the limited licence to use the App as described.
Third-Party IP
You must not post content that infringes the copyright, trademark, or other intellectual property rights of any third party. This includes:
- Uploading music, film, TV, or other copyrighted material without authorisation;
- Using third-party trademarks or brand assets without permission;
- Reproducing and presenting others' original creative work as your own.
DMCA & Copyright Complaints
We comply with the Digital Millennium Copyright Act (DMCA) and EU Directive 2019/790 on Copyright in the Digital Single Market. To submit a copyright takedown notice:

Your notice must include: identification of the copyrighted work; description of the allegedly infringing content; your contact information; and a statement of good faith belief. Counter-notices may be filed in response to erroneous takedowns.
Repeat Infringer Policy
We operate a repeat copyright infringer policy. Users who receive multiple valid copyright strikes will have their account permanently terminated.
20Third-Party Services
The Platform integrates with third-party services. Your use of these services is subject to their own terms and privacy policies. Eleva is not responsible for the availability, accuracy, content, or data practices of third-party services.
Key third-party integrations relevant to you include:
- Google Pay — token purchases (Google LLC);
- Stripe — cash withdrawal payment processing (Stripe Payments UK Ltd / Stripe Payments Europe Limited);
- Stripe Identity — KYC identity verification (Stripe Payments UK Ltd — FCA FRN: 900461);
- Google AdMob — in-app advertising (Google LLC);
- Google Cloud Vision AI — automated content moderation (Google LLC);
- Amazon Web Services — cloud infrastructure;
- Backblaze B2 — media storage;
- Bunny CDN — content delivery.
Links to third-party websites or services on the Platform are for convenience only and do not constitute an endorsement.
21Advertising
Eleva displays in-app advertisements via Google AdMob. Personalised advertising requires your explicit opt-in consent, requested on first App launch. You may withdraw consent at any time via App Settings → Privacy → Advertising Preferences or via Google's Ad Settings at adssettings.google.com.
If you decline advertising consent, you will continue to see non-personalised advertisements. Eleva does not control the content of third-party advertisements. Advertisers do not receive your personally identifiable information without your consent.
A portion of advertising revenue is distributed back to the community as described in Section 12 and the Monetisation Policy.
22Privacy & Data
Our Privacy Policy describes in detail how Eleva collects, uses, stores, and shares your personal data. It also sets out your rights under UK GDPR, EU GDPR, CCPA (California), and PIPEDA (Canada). The Privacy Policy forms part of these Terms.
UK MRDP & HMRC Reporting
Eleva is obligated under the Platform Operators (Due Diligence and Reporting Requirements) Regulations 2023 (UK MRDP) to collect tax information from eligible users and report qualifying earnings directly to HMRC. Eleva will report your earnings to HMRC if you receive more than £1,700 in a calendar year or complete more than 30 transactions in a calendar year, in accordance with those Regulations. You will be notified in-app when your activity approaches or reaches these thresholds. You remain personally responsible for declaring all Eleva earnings to HMRC regardless of whether Eleva reports them. See the Monetisation Policy — Section 10 for full tax obligations.
Data Retention on Account Closure
Upon account deletion, personal data is removed as described in the Privacy Policy. Certain data is retained for legally required periods (financial records — 7 years; KYC records — 5 years from last transaction). To delete your account: in-app via Settings, or online at elevaplatform.org/delete-account.
23Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CONTINUOUS ACCESS, OR ACCURACY.
We do not warrant that:
- The App will be error-free, uninterrupted, or secure at all times;
- Any defect will be corrected within any particular timeframe;
- The App is free from viruses or other harmful components;
- Content posted by users is accurate, lawful, or inoffensive;
- Any minimum level of earnings will be achievable.
Nothing in this section affects your statutory rights as a consumer under applicable law, including the UK Consumer Rights Act 2015, EU Consumer Rights Directive, or equivalent legislation. If you are an EEA consumer, EEA consumer laws provide you with a legal guarantee covering the Platform.
24Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELEVA PLATFORM LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, EARNINGS, GOODWILL, OR OTHER INTANGIBLE LOSSES.
Our total aggregate liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the greater of:
- The amount you have paid to Eleva in the 12 months preceding the claim; or
- £100 (one hundred pounds sterling).
Nothing in these Terms excludes or limits liability for:
- Death or personal injury caused by our negligence;
- Fraud or fraudulent misrepresentation;
- Any liability that cannot be lawfully excluded or limited, including consumer protection rights;
- Obligations under data protection law including UK GDPR and EU GDPR.
25Indemnification
You agree to defend, indemnify, and hold harmless Eleva Platform Ltd and its officers, directors, employees, and agents from any claims, liabilities, damages, judgements, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of these Terms or any incorporated policy;
- Your User Content;
- Your use of the Services in violation of applicable law;
- Your infringement of any third-party intellectual property rights;
- Any misrepresentation made by you (including fraudulent KYC);
- Any tax liability arising from your failure to fulfil your tax obligations on earnings.
26Suspension, Restriction & Termination
Our Rights
We may, acting reasonably and objectively, restrict, suspend, or permanently terminate your account if:
- You are in material or repeated breach of these Terms or our Community Guidelines;
- We have grounds to believe you are about to seriously breach these Terms;
- We are legally required to do so;
- There is a serious technical or security issue;
- You have submitted fraudulent KYC documents;
- We detect fraud, money laundering activity, or financial crime;
- Your account is involved in CSAM, terrorism, NCII, or human trafficking content.
We will normally give you advance notice so you can download your data, except where immediate action is necessary (serious violations, ongoing harm, legal requirement, or where notice would compromise a fraud investigation).
Effect of Termination
On termination: your access to the Platform is revoked; your content may be removed; token balance treatment follows Section 11 (Forfeiture — Differentiated Treatment) — purchased tokens are not automatically forfeited for non-fraud breach; you receive a 14-day window to withdraw them before account closure. For fraud/AML terminations, full balance forfeiture applies. Pending balances are forfeited at the time of termination.
Your Right to Leave
You may terminate your relationship with Eleva at any time by deleting your account via the in-app function or at elevaplatform.org/delete-account.
Appeals
If you believe an account action was made in error, email appeals@elevaplatform.org within 14 days. We will review and respond within 72 hours. We will restore access if the action was unjustified.
Survival
Sections 8 (content licence for shared content), 19, 23, 24, 25, 27, and 29 survive termination of these Terms.
27Governing Law & Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of laws principles.
UK Users
The courts of England and Wales shall have jurisdiction over disputes arising from these Terms. Nothing prevents you as a UK consumer from bringing proceedings in your local courts.
EU Users
If you are a consumer resident in the EU, you retain the benefit of any mandatory consumer protection laws in your country of residence and may bring proceedings in the courts of your EU member state of residence. The courts of England and Wales have jurisdiction for business-to-business disputes.
EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/odr for disputes related to online purchases.
Informal Resolution
Before initiating formal legal proceedings, we both agree to attempt informal resolution. Contact legal@elevaplatform.org with details of your dispute. We will respond within 30 days. Formal proceedings may only be issued if informal resolution fails within 60 days of initial contact.
US & Canada Users
Nothing in these Terms prevents US or Canadian users from raising disputes with their applicable consumer protection authorities (FTC, CFPB, or Canadian Competition Bureau) or accessing rights under applicable state/provincial law.
28Changes to These Terms
We may revise these Terms from time to time. Reasons for changes include: changes in applicable law or regulation; changes to Platform features; security updates; clarification; or business necessity.
For material changes, we will:
- Update the "Last Updated" date at the top;
- Notify you via prominent in-app notification at least 30 days before changes take effect for material changes to fees, splits, forfeiture rules, or withdrawal conditions; and at least 14 days before for all other material changes;
- Where legally required, obtain your renewed consent.
For urgent changes (security, safety, legal, or regulatory requirements), we may apply changes immediately and notify you as soon as possible.
Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Platform and may delete your account before the change takes effect.
29Miscellaneous
Entire Agreement
These Terms, together with all incorporated policies listed in Section 2, constitute the entire agreement between you and Eleva regarding the Platform and supersede all prior agreements on the same subject matter.
Severability
If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions continue in full force and effect.
Waiver
Failure by either party to enforce a provision does not constitute a waiver of the right to enforce it later.
Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. Eleva may assign its rights and obligations in connection with a merger, acquisition, or asset sale, with notice to you. Any assignment will not negatively affect your consumer rights.
Force Majeure
Eleva is not liable for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, government actions, cyberattacks, or third-party infrastructure failures. We will notify you promptly and make reasonable efforts to resume service.
Account Name
We may reclaim your username if you have not logged in for 6 months or if your username violates these Terms or third-party trademark rights.
Language
These Terms are written in English. In the event of any inconsistency between the English version and any translated version, the English version prevails to the extent permitted by applicable law.
No Employment
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and Eleva. You are an independent user. Referral and earnings activities do not make you an employee or contractor of Eleva.
